chat-keeper is an enterprise-grade AI workflow orchestration platform that provides:
- AI-powered workflow tools for wedding planners, photographers, and creative studios
- Multilingual content generation (English, Cantonese, Mandarin)
- Legal compliance assistance for creative industry contracts
- Visual content analysis and brand voice customization
- Project coordination and vendor management tools
The Service is powered by Google Cloud Vertex AI, Azure OpenAI, and Gemini, GPT, Claude AI models.
3. Eligibility & Authorized Users
3.1 Authorized Use
chat-keeper is provided exclusively for:
- Authorized Enterprise Employees: Internal employees of licensed business entities
- Industry Partners: Specific wedding planning, photography, and creative industry partners who have executed partnership agreements with chat-keeper
- Professional Services: Licensed wedding coordinators, event planners, photographers, and bilingual MCs using the platform for legitimate business operations
3.2 Age and Capacity Requirements
You must be at least 16 years of age and have the legal capacity to enter into binding contracts. If you are accessing on behalf of a business entity, you must have the authority to bind that entity.
4. Prohibited Uses
You agree NOT to use the Service for any of the following prohibited activities:
4.1 Illegal Activities
- Any unlawful purpose or activity
- Violating any local, state, national, or international law or regulation
- Fraud, theft, or financial crimes
- Counterfeiting or piracy
4.2 Harmful Content
- Generating hate speech, violence, or discriminatory content
- Creating content that promotes harm to individuals or groups
- Producing sexually explicit or abusive material
- Harassment, bullying, or intimidation
4.3 Security Violations
- Attempting to gain unauthorized access to any part of the Service
- Attempting to probe, scan, or test the vulnerability of the system
- Interfering with the proper functioning of the Service
- Introducing viruses, worms, Trojan horses, or other malicious code
4.4 AI Model Misuse
- Attempting to reverse engineer, decompile, or extract model weights
- Using the Service to develop competing AI models
- Attempting to circumvent AI safety measures or content filters
- Using the Service for automated scraping or bulk data extraction
4.5 Reselling and Redistribution
- Redistributing, reselling, or providing access to the Service to third parties without authorization
- Creating derivative works based on the Service for commercial purposes
- Using the API or Service to provide services to end users without a written agreement
- Sublicensing, leasing, or renting the Service to unauthorized parties
5. User Conduct
When using chat-keeper, you agree to:

7. Payment & Subscription Terms

7.2 Payment Obligations
- All fees are due in advance unless otherwise agreed
- Payments are non-refundable unless specifically stated
- You are responsible for all taxes applicable to your use of the Service
- Failure to pay may result in account suspension or termination
7.3 Price Changes
We reserve the right to modify pricing with 30 days' notice. Your subscription will continue at the existing rate until the next billing cycle.
8. Intellectual Property Rights
8.1 chat-keeper Property
The Service, including all content, software, algorithms, and AI models, is the proprietary property of chat-keeper and its licensors. All rights, title, and interest in the Service remain with chat-keeper.
8.2 Your Content
You retain ownership of content you upload to the Service. By uploading content, you grant chat-keeper a limited license to use that content solely for providing the Service to you.
8.3 Generated Outputs
Outputs generated by the AI models based on your inputs are yours to use for legitimate business purposes. However, you acknowledge that similar outputs may be generated for other users, and we do not guarantee exclusive ownership of output patterns.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ERROR-FREE OR UNINTERRUPTED OPERATION
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AIKEEPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES OR AI MODEL OUTPUTS
11. Indemnification
You agree to indemnify, defend, and hold harmless chat-keeper and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising out of:
- Your use of the Service
- Your violation of this Agreement
- Your violation of any third-party rights
- Content you upload to the Service
12. Termination
12.1 Termination by You
You may cancel your subscription at any time. No refunds will be provided for unused service periods.
12.2 Termination by chat-keeper
We may suspend or terminate your account immediately if you:
- Violate any provision of this Agreement
- Engage in prohibited uses as outlined in Section 4
- Fail to pay outstanding fees
- Pose a risk to the security or integrity of the Service
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. You remain responsible for all fees incurred up to the termination date.
13. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Agreement shall be resolved through binding arbitration in New Zealand under the rules of the New Zealand Arbitration Association.
14. Changes to Terms
We may modify this Agreement at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new terms.
15. Entire Agreement
This Agreement, together with our Privacy Policy and any other agreements referenced herein, constitutes the entire agreement between you and chat-keeper regarding your use of the Service and supersedes all prior agreements, representations, or understandings.
